Case 1:不可抗力
12.2 不可抗力是指地震、战争、罢工、台风、水灾、火灾、政府干预、封锁、禁运等不能预见、不可避免、不可克服的客观情况。
12.2 Force majeure event refers to earthquake, war, strike, typhoon, flood, fire, government intervention, blockade, embargoes and other unforeseeable, unavoidable and insurmountable objective conditions.
12.1 因不可抗力导致双方或一方不能履行协议项下有关义务时，双方相互不承担违约责任。
12.1 If the force majeure event renders it impossible for either party or both party to perform the relevant obligations herein, neither party shall be liable for breach of contract.
但由于不可抗力导致不能履行协议的一方,应尽快通知另一方,并在事发后10个工作日以内向另一方提供不可抗力的证明文件。该证明文件须由有关政府权威机构签署。
But if the force majeure event renders it impossible for either party to perform thereof, the affected party shall immediately notify the other party and will provide the supporting document of the force majeure event to the other party within 10 working days after the accident, which shall be officially signed and issued by the relevant government authorities.
Case 2: 续约
期限届满后，如双方均无异议，有效期自动顺延一年，可顺延多次，以此类推。本协议期限届满前，任何一方不同意顺延有效期的，须提前三个月书面通知对方。
After the validity period expires and if neither party has any objection, the agreement shall be automatically renewed or postponed for another (1) year. This agreement can be extended or renewed several times, and so on.
Case 3:法律适用和争议处理( Applicable Law and Dispute Resolution)
14.1 协议适用中华人民共和国法律，个别条款如与法律、法规或规章相抵触，有关权利义务应按法律、法规或规章执行。
14.1 The agreement shall be governed by the laws of the People's Republic of China, and if any individual clause or provision is in conflict with the relevant laws, statutes or regulations, the relevant rights and obligations shall be subject to the relevant laws, statutes or regulations accordingly.
Case 4: 仲裁条款 Arbitration Clause
将争议提交 北京仲裁委员会，按提交仲裁申请时该会有效仲裁规则，在北京市 仲裁解决。仲裁裁决是终局的，对双方均有约束力。在仲裁期间，协议不涉及争议部分的条款仍须履行。
Either party thereto may submit the dispute to Beijing Arbitration Committee for arbitration in Beijing City in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties. During the arbitration period, the other provisions herein not involved with the dispute shall be continuously performed accordingly.
Case 5: 其它约定事项(Provisions for other matters)
15.1 本协议正本一式 6 份，甲方执 4 份，乙方执 2 份，具有同等法律效力。
15.1 This agreement shall be executed in sextuplicate, four of which shall be held by Party A and two of which shall be held by Party B, equally authentic.
15.3本协议任何条款无效或不可执行，如不影响其他条款的有效性和可执行性，其他条款应继续履行。
15.3 If any provision thereof is invalid or unenforceable, and does not affect the validity and enforceability of the other provisions, the other provisions shall be continuously performed(they shall remain effective for continuous performance or they shall prevail/ continue to be in effect).
15.4 附件为本协议不可分割的组成部分,与本协议正文具有同等法律效力。若二者不一致的，以附件为准。
15.4 Appendixes thereto shall be an integral part thereof, equally authentic with the text thereof. If both of them are inconsistent, the appendixes shall prevail.
