合作协议书
Cooperation Agreement
甲方：深圳市XXX有限公司
Party A: Shenzhen XXX Co., Ltd.
乙方：XXX
Party B: XXX
甲乙双方本着平等、自愿、互惠互利原则和友好合作精神，经充分协商一致，签订本合作协议并保证认真履行：
This Cooperation Agreement (“the Agreement”) is made and entered into by and between Party A and Party B, in the principles of equality, willingness, mutual benefit, and friendly cooperation. The two Parties agree as follows:
1、甲乙双方协议合作在乙方所在国韩国开发甲方产品市场。首度合作期限为2018年02月01日至2018年12月31日止；
1. The Parties agree to cooperate on marketing Party A's products (“the Products”) in Party B's country, Korea, with initial cooperation term from February 1, 2018 to December 31, 2018 (“the Term”).
2、甲方承诺自2018年02月01日起，为乙方提供如下费用或便利：
2. Party A undertakes to provide Party B with the following fees and benefits from February 1, 2018.
■每月支付乙方3100USD(税后)相关费用；
A monthly fee of USD3,100 (after-tax) for relevant expenses;
■每月用于租赁办公场所之租金，月费用控制在1200-1800USD；
A monthly fee ranging from USD1,200 to 1,800 for the office rental;
■每月营业费，每月控制在1600USD以下；
A monthly fee below USD1,600 for operation costs;
■合作期内，乙方可享受4次韩国往返深圳的机票费用（含差旅，共计4次，报销流程参照甲方相应制度）。其它会发生开销的商务活动，活动前应取得甲方同意；
Four round-trip air tickets (including necessary travel costs) from Korea to Shenzhen during the Term. The reimbursement process refers to the Company Rules of Party A. Other expenses for any business activities that need to be reimbursed shall be approved by Party A beforehand.
■合作期内，乙方可以以甲方“业务经理”身份开展相应业务活动；
During the Term, Party B has the right to carry out business activities in name of Party A’s Business Manager; and
■甲方承诺以上费用，以月结形式在每月30日前支付至乙方指定帐户。
The said fees shall be transferred to the designated account of Party B by the 30th day of each month.
3、乙方承诺：
3. Party B undertakes -
■2018年合作期限内，完成4800万人民币销售目标（销售提成按甲方业务管理规定执行，前期电源产品可按1%提计，变压器产品按甲方规定执行）。
to achieve a sales target of RMB48,000,000 during the term of 2018. (Sales commission shall be calculated and paid in comply with the business management rules of Party A, with one percent (1%) for the products of power supply at the early period hereof, and the percentage for transformers shall be arranged according to the rules of Party A.)
■每半年接受甲方业务评审委员会之业绩评审一次。若达不到业务目标或发生与甲方政策相冲突之事项，甲方有权提前终止本协议；
to accept a performance assessment by Party A's Performance Review Board every half year. In case Party B fails to achieve the sales target or violates applicable rules of Party A, Party A has the right to terminate the Agreement.
■协助甲方（对应窗口为营销副总经理）制订和策划韩国市场推广计划，落实销售任务与相应责任。跟进帐款近期回收。呆帐、坏帐按甲方制度计损；
to assist Party A (with its Marketing DGM serving as liaison) in developing promotional strategies for the Products in Korea market, fulfilling sales targets and relevant responsibilities, and following up collections of outstanding receivables. In case of a bad debt, it may be handled as an accounting loss based on the company rules of Party A.
■服从和认真落实甲方指令。无论合作期间或终止合作以后，均不得直接或间接向任何人透露甲方保密资料。任何时候不得代表甲方发表不实或误导言论；
to comply with and faithfully carry out Party A’s instructions. During or beyond the Term, Party B shall not disclose any confidential information of Party A to any third party directly or indirectly. At any time he shall not make any false or misleading statement on behalf of Party A.
■基于乙方身体原因或违反中国或韩国法律而不能履行本协议时，乙方应承担因此所发生的任何责任；
In case that Party B is unable to fulfill the Agreement due to physical reasons or violation of Chinese or Korean laws, Party B shall be liable for any liability arising therefrom.
4、乙方主要工作对甲方总经理负责，日常工作窗口为甲方营销中心副总经理；
4. Party B shall report his main work to Party A’s General Manager, but for daily issues he shall contact Marketing DGM of Party A.
5、若因履行本协议发生纠纷，双方应友好协商解决，若无果，双方均可提交甲方所在地人民法院管辖处理。
5. Any dispute arising from or relating to the Agreement shall be settled by the Parties through friendly negotiation. Where such negotiation fails, either Party may file a lawsuit to a competent court of the city where Party A is located.
6、本协议于 年 月 日在中国深圳签订。本协议一式二份，每份都用中文和英文写成两份，但以中文文本为准；甲乙双方各执一份，具体同等法律效力。合同附件为本协议不可分割的一部分，同具相同的地位和效力。
6. The Agreement is executed in Shenzhen, China, on (date). It is made in two copies, each containing both Chinese and English versions. In the event of any discrepancy between the two, the Chinese version shall prevail. Party A and Party B each hold one copy of the Agreement, with equal legal force. The annexes hereto shall be incorporated into the Agreement with the same effect.
